Terms of Service

1. Acceptance

By installing or using the Apps, the customer entity ("Customer") agrees to these Terms.

2. Licence

We grant Customer a non-exclusive, revocable licence to use the Apps for internal business purposes.

3. Fees

The Jira app is billed via the Atlassian Marketplace. The Slack and PagerDuty connectors are free companion apps.

4. Privacy

Use is subject to our Privacy Policy.

5. Support

Email support: [email protected] (Mon-Fri, 09:00-17:00 PT). No formal SLA is provided.

6. Disclaimer

The Apps are provided "as is" without warranties of any kind.

7. Limitation of liability

Except for gross negligence or wilful misconduct, each party's total liability is limited to the fees paid for the Apps in the 12 months preceding the claim. Neither party is liable for indirect or consequential damages.

8. Indemnity

Customer will indemnify us against third-party claims arising from misuse of the Apps.

9. Data ownership and usage

Customers retain all rights to their data. By using our services, customers grant Phoenix Incidents a non-exclusive license to process that data solely for the purpose of providing the services.

10. Governing law

These Terms are governed by the laws of the State of California, USA.

11. Dispute resolution – Arbitration

Disputes will be resolved by binding arbitration under AAA Commercial Arbitration Rules in San Francisco, California. Either party may seek injunctive relief in court for IP or confidentiality breaches.

12. Termination

Customer may uninstall the Apps at any time. We may terminate access on 30 days' notice (or immediately for material breach). Upon termination, retained data is deleted within 24 hours unless otherwise required by law.

13. Modifications

We may update these Terms with 30 days' notice. Continued use after the effective date constitutes acceptance.
